SUPPLEMENTAL PRIVACY NOTICE FOR RESIDENTS OF CERTAIN U.S. STATES

This Supplemental Privacy Notice (“Supplemental Notice”) describes the practices of Nite Ize (“we,” “us,” “our”) regarding the collection, use, and disclosure of Personal Information and how you can exercise your privacy rights under state comprehensive privacy laws that apply to us (collectively, “U.S. Privacy Laws”). This Supplemental Notice applies only to Personal Information collected about U.S. consumers who reside in states with comprehensive privacy laws that apply to Nite Ize, including California. In particular, this Supplemental Notice provides additional details about our privacy practices related to your Personal Information as required by the applicable U.S. Privacy Laws in your state of residence. Some portions of this Supplemental Notice apply only to residents of particular states. In those instances, we have indicated that such language applies only to those residents.

Please note that this Supplemental Notice does not apply to individuals with whom we interact in an employment-related context.

A. DEFINITIONS

  • “Personal Information” means information that identifies, relates to, describes, is reasonably capable of being associated with, or could reasonably be linked, directly or indirectly, with a particular Consumer or household.
  • “Third Party” means any non-affiliated person that is not a Vendor. 
  • “Vendor” means a service provider, contractor, or processor which collects, stores, or otherwise handles data for us and is bound by contractual obligations to use your Personal Information only as directed by us.

You may be familiar with different terms that are used to describe materially similar concepts in this section by the U.S. Privacy Laws in your state of residence. You can treat them as the same for the purpose of our Supplemental Notice. For example, we intend the term “Personal Information” here to have the same definition as “Personal Data” used in specific U.S. Privacy Laws.

B. COLLECTION & PROCESSING OF PERSONAL INFORMATION   

We, and our Vendors, have collected and processed the following categories of Personal Information about consumers in the preceding 12 months: 

  1. Identifiers, such as name, alias, postal address, unique personal identifier, online identifiers, Internet Protocol address, email address, account name, signatures, physical characteristics or description, telephone number, or other similar identifiers.
  2. Financial Information, including bank account number, credit card number, or debit card number. 
  3. Characteristics of Protected Classifications under state or federal law, such as age, gender, and marital status.
  4. Commercial Information, such as records of personal property, products or services purchased, obtained, or considered, or other purchasing or consuming histories or tendencies.
  5. Internet or Other Network Information, such as browsing history, search history, information regarding your interactions with our websites or advertisements.
  6. Geolocation Data, such as device location that is more granular than a city or town.
  7. Audio, electronic, visual, or similar information, such as customer service call recordings and communications with you.
  8. Professional or employment-related information.
  9. Inferences drawn from any of the Personal Information listed above to create a profile or summary about, for example, an individual’s preferences, characteristics, psychological trends, predispositions, behavior, attitudes, intelligence, abilities, and aptitudes .

We do not collect or process Sensitive Personal Information as that term is defined by U.S. Privacy Laws.

RETENTION OF PERSONAL INFORMATION. We retain each category of Personal Information described above only for as long as necessary to fulfill the purpose for which it was collected, or a related and compatible purpose consistent with the average consumer’s expectation, and to comply with applicable laws and regulations. We consider the following criteria when determining how long to retain Personal Information: why we collected the Personal Information, the nature of the Personal Information, the sensitivity of the Personal Information, our legal obligations related to the Personal Information, and risks associated with retaining the Personal Information.

C. PURPOSES FOR PROCESSING AND DISCLOSING PERSONAL INFORMATION

We, and our Vendors, collect, process, and disclose the above categories of Personal Information to:

  • Operate, manage, and maintain our business;
  • Provide, develop, improve, repair, and maintain our products and services;
  • Personalize, advertise, and market our products and services; 
  • Conduct research, analytics, and data analysis; 
  • Undertake quality and safety assurance measures;
  • Conduct risk and security controls and monitoring; 
  • Detect and prevent fraud; 
  • Perform identity verification; 
  • Perform accounting, audit, and other internal functions, such as internal investigations; 
  • Comply with law, legal process, and internal policies; 
  • Maintain records;
  • Exercise and defend legal claims; and
  • Otherwise accomplish our business purposes and objectives.

D. SALE, SHARING, & TARGETED ADVERTISING

We Sell and Share Personal Information, and we have Sold and Shared Personal Information in the past twelve months. Under the U.S. Privacy Laws, “Sell,” “Sale,” or “Sold” means renting, releasing, or transferring an individual’s Personal Information to a Third Party for money or other valuable consideration, and “Share,” “Shared,” or “Sharing” means transferring an individual’s Personal Information to a Third Party for cross-context behavioral advertising or targeted advertising purposes, whether or not for money or other valuable consideration. “Share,” “Shared,” or “Sharing” includes processing of Personal Information for targeted advertising, as the term “targeted advertising” is defined by the U.S. Privacy Laws. 

In particular, we Sell and Share and have Sold and Shared in the past twelve months IP addresses, other unique online identifiers, and browsing data via Cookies to third parties for analytics and marketing purposes. You have the right to opt out of the Sale and Sharing of your Personal Information. To do so, you can access our cookie settings by using the link below, turn “off” all Cookies other than “Essential” cookies (which are needed to support the functionality of our Services), and then click “Save.”

 

We do not have actual knowledge that we Sell or Share Personal Information of consumers who are under 16 years of age. We also do not process Personal Information for purposes of Profiling or to engage in automated decision making in furtherance of decisions that produce legal or similarly significant effects (which means a decision that results in the provision or denial of financial or lending services, housing, insurance, education enrollment or opportunity, criminal justice, employment opportunities, health-care services, or access to essential goods or services).

E. CATEGORIES OF ENTITIES TO WHOM WE DISCLOSE PERSONAL INFORMATION

Vendors. We may disclose your Personal Information to our Vendors for the purposes described in Section C of this Supplemental Notice. Our Vendors provide us with services for our websites, as well as other products and services, such as web hosting, data analysis, payment processing, customer service, infrastructure provision, technology services, email delivery services, credit card processing, legal services, and other similar services. We grant our Vendors access to Personal Information only to the extent needed for them to perform their functions, and we require them to protect the confidentiality and security of such information.

Third Parties. For each category of Personal Information identified in Section B, we disclose and have disclosed in the past 12 months such Personal Information to the following categories of Third Parties:

  • At Your Direction. We may disclose your Personal Information to any Third Party with your consent or at your direction.
  • Marketing and Analytics Providers. We may disclose Personal Information we collect via cookies and other online tracking technologies to third party marketing and analytics providers for marketing and analytics purposes.
  • Business Transfers or Assignments. We may disclose Personal Information to other entities as reasonably necessary to facilitate a merger, sale, joint venture or collaboration, assignment, transfer, or other disposition of all or any portion of our business, assets, or stock (including in connection with any bankruptcy or similar proceedings).
    Legal and Regulatory. We may disclose Personal Information to government authorities, including regulatory agencies and courts, as reasonably necessary for our business operational purposes, to assert and defend legal claims, and otherwise as permitted or required by law.


F. SOURCES FROM WHICH WE COLLECT PERSONAL INFORMATION

We collect Personal Information from you in several ways, including when you provide it to us, such as when you place an order, create a user account (profile), sign up for email newsletters or otherwise enter it via our Services, and through automated processes. We also collect information about your transactions with us, including your order history. Further, we collect Personal Information from our vendors and third parties when they provide Personal Information to us.

G. DATA SUBJECT RIGHTS

Residents who reside in states with U.S. Privacy Laws have the following rights regarding our collection and use of the Personal Information, subject to certain exceptions. Please read this section carefully as some rights vary by state. 

  • Rights that Require Verification. You may exercise the data subject rights below via our online webform, by calling 800.678.6483 or by emailing us at info@niteize.com. You may also authorize an agent to make data subject requests on your behalf. In such instances, authorized agents may use the same methods as you to submit the requests on your behalf. To verify your identity and protect your Personal Information, we may ask the requestor to provide information that will enable us to verify your identity in order to comply with your data subject request, such as asking your agent to provide proof of signed permission from you, or we may ask you to confirm with us directly that you provided the agent with permission to submit the request. In some instances, we may decline to honor your request if an exception applies under applicable law. We will respond to your request consistent with applicable law. 
    • Right to Know: You have the right to know the following details about our privacy practices at or before the point of collection. We have provided such information in this Supplemental Notice. You may also request that we provide you with information about the following aspects of how we have handled your Personal Information specifically in the twelve months preceding your request:
    • The categories of Personal Information we have collected about you;
    • The categories of sources from which we collected such Personal Information;
    • The business or commercial purpose for collecting, Selling, or Sharing Personal Information about you;
    • The categories of Personal Information about you that we disclosed and the categories of Third Parties to whom we disclosed such Personal Information;
    • The categories of Personal Information about you that we Sold or Shared, and the categories of Third Parties with whom we Sold or Shared such Personal Information;
    • If we collect Sensitive Personal Information, the categories of Sensitive Personal Information to be collected, the purposes for which it is collected or used, and whether that information is Sold or Shared; and
    • The length of time we intend to retain each category of Personal Information, or if that is not possible, the criteria used to determine that period.
  • Right to Delete: You may request that we delete any Personal Information about you we that we collected from you.
  • Right to Correct: You may request that we correct any inaccurate Personal Information we maintain about you.
  • Right to Access Specific Pieces of Personal Information and Data Portability: You may ask to obtain the specific pieces of Personal Information we have collected about you in a portable and, to the extent technically feasible, readily usable format that allows you to transmit the Personal Information to another entity without hindrance. You may not exercise this right more than two times in a calendar year.
  • Rights that Do Not Require Verification.
    • Right to Opt-Out of Sale: You have the right to opt out of the Sale of your Personal Information. To exercise this right, you can access our Cookie Settings page, turn “off” all Cookies other than “Essential” cookies (which are needed to support the functionality of our Services), and then click “Save.” Alternatively, you can turn “on” the toggle that says “Do Not Sell or Share My Personal Information” and then click “Save.”
    • Right to Opt-Out of the Sharing of Your Personal Information or the Use of Your Personal Information for Targeted Advertising: You have the right to opt out of the Sharing of your Personal Information or our use of your Personal Information for targeted advertising purposes. To exercise this right, you can access our Cookie Settings page, turn “off” all Cookies other than “Essential” cookies (which are needed to support the functionality of our Services), and then click “Save.” Alternatively, you can turn “on” the toggle that says “Do Not Sell or Share My Personal Information” and then click “Save.

 

As described above, we do not engage in Profiling or automated decision making that   have legal or similarly significant effects. But if we did, you would have the right to opt out of the profiling of data in furtherance of solely automated decisions that have legal effects or similarly significant effects concerning consumers. Similarly, we do not process Sensitive Personal Information. But if we did, you would have the right to revoke consent for or limit the use of your Sensitive Personal Information to the purposes authorized by the applicable U.S. Privacy Laws.

  • Opt-Out Preference Signals. Some web browsers or devices offer settings where you may pre-set a signal to websites that you do not want to have your online activity and behavior tracked, sold, shared, or otherwise used for targeted advertising purposes. We recognize the opt-out preference signals that we are required to recognize for compliance with applicable law. Where required by U.S. Privacy Laws, we treat the opt-out preference signals we are required to comply with as a valid request to opt-out of Sale and Sharing for the browser or device through which the signal is sent and any consumer profile we have associated with that browser or device, including pseudonymous profiles. Further, if we know the identity of the consumer from the opt-out preference signal, we will also treat the opt-out preference signal as a valid request to opt out of Sale and Sharing for such consumer. Consumers may use opt-out preference signals by downloading or otherwise activating them for use on supported browsers and setting them to send opt-out preference signals to websites they visit.
  • Non-Discrimination. We will not discriminate against you for exercising your data subject rights. For example, we will not deny goods or services to you, charge you different prices or rates, or provide a different level of quality for products or services as a result of you exercising your data subject rights.
  • Appeals. Residents of certain states have the right to appeal our decisions on their data subject requests. This section does not apply to California residents, or to residents who reside in other states where the applicable U.S. Privacy Law does not give them the right to appeal controllers’ decisions regarding data subject rights. To appeal our decision on your data subject requests, you may contact us via our online webform or by emailing us at info@niteize.com and submitting details regarding your request. Please enclose a copy of or otherwise specifically reference our decision on your data subject request, so that we may adequately address your appeal. We will respond to your appeal in accordance with applicable law.

H. Other Disclosures

  • Residents Under Age 18. If you are under the age of 18 and a registered user of our website, you may ask us to remove content or data that you have posted to the website by contacting us via our online webform or by emailing us at info@niteize.com. Please note that your request does not ensure complete or comprehensive removal of the content or data as, for example, some of your content or data may have been reposted by another user.
  • Direct Marketing Disclosure for California Residents. California Civil Code § 1798.83requires certain businesses to respond to requests from California residents asking about the businesses’ practices related to disclosing Personal Information to third parties for their third parties’ direct marketing purposes. We do not disclose to third parties for their own marketing purposes the categories of Personal Information listed in California’s “Shine the Light” law, such as names, addresses, email addresses, and telephone numbers.

  • Changes to our Supplemental Notice. We reserve the right to amend this Supplemental Notice in our discretion and at any time. When we make material changes to this Supplemental Notice, we will notify you by posting an updated Supplemental Notice on our website and listing the effective date of such updates.
